Terms of Use

These Terms of Use (the "Terms") are an agreement between you and Elliverse Inc., doing business as ELLI ("ELLI," "we," "us"). They cover your use of elliverse.ai, the ELLI mobile apps, ELLI's AI assistant, and our related services (together, the "Services"). By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

Some parts of the Services have their own terms, which apply together with these Terms: the Membership terms, the Rewards terms, the Agent terms, the Vendor terms, and the Cookie notice. If those terms conflict with these Terms on their specific subject, those terms control.

IMPORTANT: THESE TERMS CONTAIN AN ARBITRATION AGREEMENT AND A CLASS-ACTION WAIVER (SECTION 17). Unless you opt out within 30 days, most disputes between you and ELLI will be resolved by binding individual arbitration instead of in court, you give up the right to a jury trial for those disputes, and you may not bring or join a class or representative action. Texas law applies.

1. Who can use ELLI

You must be at least 18 years old and able to enter into a binding contract. The Services are offered in the United States only. If you use the Services for a business, you confirm that you are authorized to accept these Terms for that business.

2. Your account

You are responsible for keeping your login details secure and for all activity under your account. Give us accurate information and keep it up to date. Tell us right away at info@elliverse.ai if you think someone has used your account without permission. You may not share your account or create accounts for other people without their permission.

3. What ELLI does, and what it doesn't

ELLI brings everything for your home into one place: searching for homes, finding and booking home-service pros, design and style ideas, shopping, keeping your home's records in My Home, and saving and sharing what you love.

  • ELLI is a technology platform, not a real estate brokerage. ELLI does not act as your real estate broker or agent, does not represent you in any real estate transaction, and does not negotiate on your behalf. Real estate agents and brokerages you find or choose through ELLI are independent licensees. They, not ELLI, are responsible for their services and for following the rules that apply to them.
  • Vendors are independent. Home-service pros ("vendors") you find through ELLI are independent businesses, not ELLI's employees or agents. ELLI does not perform their work. When ELLI helps you request quotes or schedule a job, your agreement for the work is between you and the vendor. ELLI is not a party to it and does not guarantee the vendor's prices, timing, quality, or results.
  • Licenses and reviews. Where ELLI shows a license, it comes from public state records (for example, the Texas Real Estate Commission for agents and the Texas Department of Licensing and Regulation for licensed trades) as of the time we checked. Licenses can change, and not every trade requires one. Before you hire anyone, check their license, insurance, and references yourself.
  • Listing information. Property listings come from multiple listing services (MLS) and their licensed data providers. They are for your personal, non-commercial use, are believed reliable, and are not guaranteed. Always verify details with a licensed real estate professional.
  • Estimates are not appraisals. Home values, costs, savings, and other estimates in the Services are general estimates. They are not appraisals, inspections, or guarantees.
  • No professional advice. Information in the Services, including anything ELLI's AI assistant says, is general information. It is not legal, tax, financial, investment, lending, insurance, inspection, appraisal, or real estate advice. Confirm important details with a qualified professional.
  • Fair housing. ELLI supports equal housing opportunity. We do not steer anyone toward or away from homes or neighborhoods based on race, color, religion, national origin, sex, disability, familial status, or any other characteristic protected by law. When you tell ELLI that schools matter to you, school information comes from objective public sources, such as Texas Education Agency ratings, and the source is shown.

4. ELLI's AI assistant

  • ELLI is an AI. ELLI's assistant is artificial intelligence, not a person. It will tell you so if you ask, and it will never claim to be human.
  • It can make mistakes. AI-generated answers can be incomplete, out of date, or wrong. Use your own judgment and check anything important before you act on it. Do not rely on ELLI in an emergency; call 911 or the right professional.
  • Memory. ELLI remembers what you share so it can help you better. You can see, delete, or turn off ELLI's memory at any time. ELLI keeps sensitive things you share, such as health, family, or religious details, only if you opt in. See the Privacy Policy for details.
  • AI providers. Your conversations with ELLI, including voice, are processed by our AI service providers, such as OpenAI, to produce ELLI's responses.

5. Memberships, payments, and automatic renewal

  • Where you buy. All purchases, including memberships, upgrades, add-ons, agent and vendor plans, and advertising, are made on our website, elliverse.ai, through our payment processor, Stripe. There are no in-app purchases.
  • Prices. The price and billing period are shown before you buy. Prices may change; we will tell you before a change applies to your next renewal, and you can cancel before it takes effect. Taxes may be added where required.
  • AUTOMATIC RENEWAL. Paid memberships, plans, and advertising renew automatically at the end of each billing period (monthly or yearly, as you chose) at the then-current price until you cancel. By buying, you authorize ELLI and Stripe to charge your payment method at each renewal.
  • How to cancel. You can cancel at any time online in your account at elliverse.ai, or by emailing info@elliverse.ai. Cancellation takes effect at the end of the current billing period, and you keep access until then.
  • Refunds. Payments are not refundable, including for partial billing periods, except where required by law. If something isn't right, email info@elliverse.ai and we will take a look.
  • More detail. The Membership terms cover member plans, pausing, plan changes, and cancellation. Agent and vendor plans are covered by the Agent terms and the Vendor terms. Any promotional offer, such as free months, applies only as described when it is offered to you.

6. Member Rewards, referrals, and Elli Dollars

ELLI offers Member Rewards and a referral program ("Rewards") under the Rewards terms, which control eligibility, amounts, timing, and payouts.

  • Referral earnings come only from real purchases. You earn only when people you refer directly pay ELLI for qualifying products. Nobody earns for signing people up alone, and nobody earns from the people their referrals refer.
  • Elli Dollars have no cash value. They are promotional credits that can be used only for ELLI's own membership and add-on purchases on our website. They can't be withdrawn, transferred, sold, or exchanged for cash, and they are forfeited when a paid membership is cancelled.
  • Cash earnings. Referral earnings paid in cash can be withdrawn once your cash balance is at least $50, less the cash-out fee shown in the Rewards terms.
  • No rewards on Marketplace or Amazon purchases. Purchases made in the ELLI Marketplace or on Amazon do not earn Elli Dollars, rewards, or rebates, and they never earn referral money for anyone.
  • Rewards are held until the refund window for the underlying payment has passed (about 30 days). We may withhold or reverse Rewards that come from fraud, abuse, mistakes, refunds, chargebacks, or violations of these Terms. We may change or end a Rewards program with notice, but changes won't take away cash you have already earned.
  • You are responsible for any taxes on Rewards you receive.

7. Texts, emails, and invitations

  • Messages from ELLI. If you give us your phone number and agree to receive texts, ELLI may send you account and service messages and, only if you separately agreed, marketing messages. Message frequency varies, and message and data rates may apply. Reply STOP to opt out or HELP for help. Agreeing to marketing texts is never a condition of buying anything. Marketing emails include an unsubscribe link.
  • Invitations you send. You may invite people you know to ELLI. When you ask ELLI to email invitations for you, you confirm that you have a personal or business relationship with each person, and ELLI limits how many are sent each day and includes an unsubscribe link. Any text message invitation is sent by you, from your own phone; ELLI does not send bulk text messages. Do not invite people who have asked not to be contacted.

8. Your content

You keep ownership of content you post or send through the Services, such as reviews, photos, documents, and messages ("Your Content"). You give ELLI a worldwide, non-exclusive, royalty-free license to host, store, use, display, and share Your Content only as needed to run, improve, and promote the Services and as you direct (for example, when you share something with a friend, your agent, or a vendor). This license ends when you delete Your Content, except for copies we must keep by law or that others already received from you. You confirm that you have the rights to Your Content and that it does not violate the law or anyone's rights. Reviews must reflect your honest, first-hand experience. We may remove content that breaks these Terms. If you send us ideas or feedback, we may use them without paying you.

9. Things you may not do

You agree not to:

  • break the law, or infringe anyone's rights;
  • post false, misleading, defamatory, or harmful content, including fake or paid-for reviews;
  • harass, threaten, or discriminate against anyone, including in violation of fair housing laws;
  • copy, scrape, or resell listing data or other content from the Services;
  • try to get into accounts, systems, or data you are not allowed to access, or disrupt the Services;
  • use the Services to send spam, unauthorized advertising, or messages to people who have not agreed to receive them;
  • game the Rewards program, for example with fake accounts, self-referrals, or purchases you later reverse;
  • reverse engineer the Services, except where the law allows it.

10. ELLI's property and copyright complaints

The Services, including the ELLI name, logo, design, software, and content (other than Your Content and third-party content), belong to ELLI or its licensors and are protected by law. We give you a limited, personal, non-transferable, revocable license to use the Services under these Terms.

If you believe content in the Services infringes your copyright, send a notice to info@elliverse.ai (subject "Copyright notice") or to our mailing address below. Include: your contact details; a description of the copyrighted work; where the material appears in the Services; a statement that you believe in good faith the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature. We may remove the material and, in appropriate cases, end the accounts of repeat infringers.

11. Third-party services and affiliate links

The Services may link to or work with third-party websites, apps, and services, such as payment processors, maps, and retailers. ELLI is not responsible for them, and your use of them is governed by their terms and privacy policies.

Amazon. As an Amazon Associate, ELLI earns from qualifying purchases. When you follow a link to Amazon, your purchase is made with Amazon under Amazon's terms, and it costs you nothing extra. Amazon does not tell ELLI who bought what. If you tell ELLI what you bought, we record it and can add it to My Home for you. Some other product links may also be affiliate links that earn ELLI a fee at no extra cost to you.

12. Business integrations

ELLI's internal business tools may connect to ELLI's own accounts with service providers, such as accounting, analytics, and payment services, to report on ELLI's business. These connections use the least access needed, read-only wherever possible, and are covered by our Privacy Policy.

13. Ending your use

You may stop using the Services and close your account at any time. We may suspend or end your access if you break these Terms, if needed to protect ELLI or others, or if we stop offering the Services. If your account is closed, any Elli Dollars are forfeited, and any cash balance is paid out as described in the Rewards terms. Sections that by their nature should continue (such as fees owed, Rewards rules, ownership, disclaimers, limits of liability, indemnity, and disputes) survive after your access ends.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, ELLI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ELLI DOES NOT GUARANTEE THAT THE SERVICES, INCLUDING AI-GENERATED CONTENT, WILL BE ACCURATE, UNINTERRUPTED, OR ERROR-FREE. ELLI DOES NOT GUARANTEE THE QUALITY, SAFETY, LEGALITY, OR RESULTS OF ANY VENDOR, AGENT, BROKERAGE, LISTING, OR PRODUCT, AND IS NOT RESPONSIBLE FOR THEIR ACTS OR OMISSIONS.

15. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, ELLI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, OR FOR ANY DAMAGES ARISING FROM THE WORK, PRODUCTS, OR CONDUCT OF ANY VENDOR, AGENT, BROKERAGE, OR OTHER THIRD PARTY. ELLI'S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID ELLI IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100. Some jurisdictions do not allow certain limits, so some of these may not apply to you.

16. Indemnity

You agree to defend and hold ELLI harmless from claims, losses, and costs, including reasonable attorneys' fees, that arise from your misuse of the Services, Your Content, invitations or messages you send, or your violation of these Terms or the law.

17. Disputes, arbitration, and class-action waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. IT REQUIRES YOU AND ELLI TO RESOLVE MOST DISPUTES BY BINDING INDIVIDUAL ARBITRATION INSTEAD OF IN COURT, WAIVES THE RIGHT TO A JURY TRIAL FOR THOSE DISPUTES, AND WAIVES THE RIGHT TO BRING OR JOIN A CLASS OR REPRESENTATIVE ACTION. YOU CAN OPT OUT AS EXPLAINED BELOW.

  • Talk to us first. If you have a dispute with ELLI, email info@elliverse.ai with a short description, and we will try to resolve it informally within 60 days before either of us starts arbitration or files a claim.
  • Agreement to arbitrate. Except for the exceptions below, any dispute or claim between you and ELLI that arises out of or relates to these Terms or the Services (a "Claim") will be resolved by binding individual arbitration, not in court. This agreement to arbitrate is governed by the Federal Arbitration Act. The arbitrator decides questions about the scope and enforceability of this agreement to arbitrate, except that a court decides any question about the class and representative action waiver below.
  • How arbitration works. The American Arbitration Association ("AAA") administers the arbitration under its Consumer Arbitration Rules in effect when the Claim is filed (available at adr.org), before a single arbitrator. Hearings may take place by video, by phone, or on written submissions. Any in-person hearing takes place in Dallas County, Texas, or in the county where you live, as you choose. The arbitrator may award the same individual relief a court could award, but only in your favor individually and only to the extent needed for your individual Claim.
  • Fees. ELLI pays all AAA filing, administration, and arbitrator fees beyond the amount you would have paid to file your Claim in court. Each side pays its own attorneys' fees and costs, unless the arbitrator awards them under applicable law.
  • Exceptions. Either of us may bring an individual claim in small claims court instead, as long as it qualifies and stays there on an individual basis. Either of us may also ask a court for an injunction or other equitable relief to stop the infringement or misuse of intellectual property rights (such as copyrights, trademarks, trade secrets, or patents) or unauthorized access to the Services.
  • Class and representative action waiver. You and ELLI may bring Claims against each other only individually, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. The arbitrator may not combine more than one person's claims or preside over any class or representative proceeding. If a court decides that this waiver cannot be enforced for a particular Claim or form of relief, that Claim or relief (and only that) will be separated and decided in court as described below, and never in class arbitration. The rest of this section still applies.
  • Mass filings. If 25 or more similar demands for arbitration are filed against ELLI by or with the help of the same law firm or coordinated group, the AAA's mass arbitration rules apply and the demands may be administered in batches. Deadlines to file are paused for demands waiting in a batch.
  • 30-day opt-out. You may opt out of this agreement to arbitrate by emailing info@elliverse.ai within 30 days after you first accept these Terms, with the subject "Arbitration opt-out," your name, and the email address on your ELLI account. Opting out does not affect any other part of these Terms or any separate arbitration agreement you have with ELLI.
  • Governing law. These Terms are governed by the laws of the State of Texas and applicable U.S. federal law, including the Federal Arbitration Act, without regard to conflict-of-law rules.
  • Courts. Any Claim that is not arbitrated (because you opted out, an exception applies, or a court decides it must be heard in court) will be brought only in the state or federal courts located in Dallas County, Texas, or in the county where you live, and you and ELLI agree to the jurisdiction of those courts.

18. Changes to these Terms

We may update these Terms from time to time. We will post the new version here with a new "last updated" date. If the changes are significant, we will give you notice in advance, such as by email or in ELLI. Changes do not apply to disputes that arose before they took effect. If you keep using the Services after the changes take effect, you accept the new Terms; if you do not agree, you may cancel and stop using the Services.

19. General

These Terms, together with the Privacy Policy and the other terms linked above, are the entire agreement between you and ELLI about the Services. If any part of these Terms cannot be enforced, the rest stays in effect. If we do not enforce a right, we have not waived it. You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition, or sale of assets. We are not responsible for delays caused by events outside our reasonable control.
