ELLI Terms of Use

These Terms of Use (the "Terms") are an agreement between you and Elliverse Inc., doing business as ELLI ("ELLI," "we," "us"). They cover your use of elliverse.ai, the ELLI mobile app, and our related services (together, the "Services"). By using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. Who can use ELLI

You must be at least 18 years old and able to enter into a binding contract. If you use the Services for a business, you confirm that you are authorized to accept these Terms for that business.

2. Your account

You are responsible for keeping your login details secure and for all activity under your account. Give us accurate information and keep it up to date. Tell us right away at admin@elliverse.ai if you think someone has used your account without permission.

3. What ELLI does

ELLI brings everything for your home into one place: searching for homes, finding and booking home-service vendors, design and style ideas, shopping, and saving and sharing what you love.

  • Vendors and agents are independent. Home-service vendors, real estate agents, and brokerages you find through ELLI are independent businesses. They are not ELLI's employees or agents. ELLI does not perform their services and is not a party to your agreements with them. You are responsible for checking their licenses, insurance, prices, and work.
  • No professional advice. Information in the Services, including content from ELLI's AI assistant, is general information. It is not legal, financial, tax, inspection, or real estate advice. Confirm important details with a qualified professional.
  • Listing information. Property listings come from MLS sources and their licensed providers. They are for your personal, non-commercial use, are believed reliable, and are not guaranteed.
  • AI features. AI-generated answers can be incomplete or wrong. Use your own judgment before acting on them.

4. Memberships, subscriptions, and payments

  • Prices and plans. Membership plans, tech fees, and subscription prices are shown when you sign up. Prices may change. We will tell you before a change affects your next renewal.
  • Automatic renewal. Paid memberships and subscriptions renew automatically (monthly or yearly, as you chose) until you cancel. By signing up, you authorize us and our payment processor, Stripe, to charge your payment method at each renewal.
  • Canceling. You can cancel at any time in your account or by emailing admin@elliverse.ai. Cancellation takes effect at the end of the current billing period, and you keep access until then.
  • Refunds. Except where the law requires otherwise or where we say so in writing, fees already paid are non-refundable, including for partial periods.
  • Vendor memberships. Vendor membership terms, including introductory or first-year terms, are described at sign-up and in any vendor agreement. Those terms apply alongside these Terms.
  • Taxes. Prices may not include applicable taxes, which will be added where required.

5. Referral program, cashback, and ELLI Dollars

ELLI may offer referral rewards, cashback, and ELLI Dollars ("Rewards") under program rules published in the Services. Those rules control eligibility, amounts, caps, timing, and payout minimums.

  • Rewards are earned only on qualifying, completed, and paid activity, as defined in the program rules.
  • ELLI Dollars have no cash value except as the program rules expressly allow, and they cannot be transferred or sold.
  • We may change or end a Rewards program with notice, and we may withhold or reverse Rewards that come from fraud, abuse, mistakes, or violations of these Terms.
  • You are responsible for any taxes on Rewards you receive.

6. Text messages and emails

If you give us your phone number and agree to receive texts, ELLI may send you account, service, and (if you agreed) marketing messages. Message frequency varies, and message and data rates may apply. Reply STOP to opt out or HELP for help. Agreeing to marketing texts is never a condition of buying anything. Marketing emails include an unsubscribe link.

7. Your content

You keep ownership of content you post or send through the Services, such as reviews, photos, and messages ("Your Content"). You give ELLI a worldwide, non-exclusive, royalty-free license to host, use, display, and share Your Content only to run, improve, and promote the Services. You confirm that you have the rights to Your Content and that it does not violate the law or anyone's rights. We may remove content that breaks these Terms.

8. Things you may not do

You agree not to:

  • break the law, or infringe anyone's rights;
  • post false, misleading, defamatory, or harmful content, including fake reviews;
  • harass, threaten, or discriminate against anyone, including in violation of fair housing laws;
  • copy, scrape, or resell listing data or other content from the Services;
  • try to get into accounts, systems, or data you are not allowed to access, or disrupt the Services;
  • use the Services to send spam or unauthorized advertising;
  • reverse engineer the Services, except where the law allows it.

9. ELLI's property

The Services, including the ELLI name, logo, design, software, and content (other than Your Content and third-party content), belong to ELLI or its licensors and are protected by law. We give you a limited, personal, non-transferable, revocable license to use the Services under these Terms.

10. Third-party services and affiliate links

The Services may link to or work with third-party websites, apps, and services, such as payment processors, maps, and retailers. ELLI is not responsible for them, and your use of them is governed by their terms. Some product links are affiliate links: ELLI may earn a commission if you buy through them, at no extra cost to you. As an Amazon Associate, ELLI earns from qualifying purchases.

11. Business integrations

ELLI's internal business tools may connect to ELLI's own accounts with service providers, such as accounting, analytics, and payment services, to report on ELLI's business. These connections use the least access needed, read-only wherever possible, and are covered by our Privacy Policy.

12. Ending your use

You may stop using the Services and close your account at any time. We may suspend or end your access if you break these Terms, if needed to protect ELLI or others, or if we stop offering the Services. Sections that by their nature should continue (such as fees owed, Rewards rules, ownership, disclaimers, limits of liability, and disputes) survive after your access ends.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, ELLI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ELLI DOES NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. ELLI ALSO DOES NOT GUARANTEE THE QUALITY, SAFETY, LEGALITY, OR RESULTS OF ANY VENDOR, AGENT, LISTING, OR PRODUCT.

14. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, ELLI AND ITS OFFICERS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. ELLI'S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID ELLI IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $100. Some jurisdictions do not allow certain limits, so some of these may not apply to you.

15. Indemnity

You agree to defend and hold ELLI harmless from claims, losses, and costs, including reasonable attorneys' fees, that arise from your misuse of the Services, Your Content, or your violation of these Terms or the law.

16. Disputes

  • Talk to us first. If you have a dispute with ELLI, email admin@elliverse.ai and we will try to resolve it informally within 60 days.
  • Governing law. These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules.
  • Where claims are brought. Any claim that is not resolved informally will be brought only in the state or federal courts located in Dallas County, Texas, and you and ELLI agree to their jurisdiction. Either party may bring an eligible claim in small claims court instead.

17. Changes to these Terms

We may update these Terms from time to time. We will post the new version here with a new effective date. If the changes are significant, we will give additional notice, such as by email or in the app. If you keep using the Services after the changes take effect, you accept the new Terms.

18. General

These Terms, together with the Privacy Policy and any program rules or agreements mentioned above, are the entire agreement between you and ELLI about the Services. If any part of these Terms cannot be enforced, the rest stays in effect. If we do not enforce a right, we have not waived it. You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition, or sale of assets.
